Aspects of the Proposed Merger of Devon Energy and Ocean Energy

Background

On February 24, 2003, Ocean Energy agreed to be acquired by Devon Energy in a transaction valued at $5.3 billion. Ocean's shareholders will receive 0.414 shares of Devon common stock for each common share of Ocean. The resulting company will be the largest independent oil and gas producer in the United States.
